Terms of Service
Effective date: June 1, 2026
1. Acceptance of Terms
By accessing or using QuickProc ("the Platform"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the Platform.
These Terms constitute a legally binding agreement between you (or the company you represent) and QuickProc Technologies Pvt. Ltd., a company incorporated in India.
2. Description of Service
QuickProc is a B2B procurement platform that enables companies to manage purchase requisitions, run reverse auctions, manage vendor relationships, process invoices, and sync with accounting software.
The Platform is provided as a Software-as-a-Service (SaaS) subscription. Features available depend on your subscription plan.
3. Account Registration and Security
To use QuickProc, you must register for an account and provide accurate, complete information. You are responsible for:
- •Maintaining the confidentiality of your account credentials
- •All activity that occurs under your account
- •Immediately notifying us of any unauthorized use
- •Ensuring all users in your company comply with these Terms
You must be at least 18 years old and have authority to bind your company to these Terms.
4. Subscription and Payment
Subscription plans: QuickProc offers Starter (₹1.5L/year), Growth (₹4L/year), and Enterprise (custom) plans. Prices are exclusive of applicable GST.
Payment: Annual subscriptions are billed in advance. We issue GST-compliant invoices.
Refunds: We offer a 14-day free trial. After conversion to a paid plan, refunds are provided at our discretion and prorated for unused months in exceptional circumstances.
Price changes: We will provide 60 days notice before any price changes take effect for existing subscriptions.
5. Acceptable Use
You agree not to:
- •Use the Platform for any illegal purpose or in violation of applicable laws
- •Attempt to gain unauthorized access to any part of the Platform
- •Interfere with or disrupt the Platform or its servers
- •Upload malicious code, viruses, or harmful content
- •Use the Platform to harass, abuse, or harm others
- •Reverse engineer or attempt to extract source code
- •Use the Platform to process data belonging to unauthorized third parties
6. Data and Confidentiality
Your procurement data remains your property. QuickProc is a data processor, not a data owner.
We maintain strict data isolation between customers. Your procurement data - vendors, purchase orders, invoices, and approvals - is never accessible to other customers on the Platform.
We maintain confidentiality of your data and will not disclose it to third parties except as required by law or as described in our Privacy Policy.
7. Intellectual Property
The Platform, including all software, design, content, and trademarks, is owned by QuickProc Technologies Pvt. Ltd. and protected by intellectual property laws.
Your subscription grants you a limited, non-exclusive, non-transferable right to access and use the Platform for your internal business purposes. You may not sublicense or resell access to the Platform.
8. Service Availability and Uptime
We target 99.5% uptime for the Platform. Planned maintenance windows will be communicated at least 24 hours in advance.
We are not liable for downtime caused by factors outside our reasonable control, including cloud provider outages, force majeure events, or network issues beyond our infrastructure.
9. Limitation of Liability
To the maximum extent permitted by applicable law, QuickProc shall not be liable for:
- •Indirect, incidental, or consequential damages
- •Loss of profits, revenue, or data
- •Damages exceeding the amount paid for the Platform in the 12 months preceding the claim
These limitations apply regardless of the theory of liability.
10. Termination
Either party may terminate this agreement with 30 days written notice.
We may suspend or terminate your account immediately if you violate these Terms, fail to pay, or engage in fraudulent activity.
Upon termination, you may export your data for 30 days. After that period, we will delete your data in accordance with our data retention policy.
11. Governing Law and Disputes
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka.
For disputes under ₹10 lakh, we encourage resolution through our customer support process before initiating legal proceedings.
12. Changes to Terms
We may update these Terms from time to time. We will notify you by email and in-app notification at least 30 days before material changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
